The Millburn-Short Hills Chamber of Commerce invites our general membership to our April 13th meeting to meet our Board of Directors, enjoy light refreshments, to vote on some Constitution and By-Laws amendments, and discuss any interests that may be of concern to our membership.

The general membership meeting will last for one half hour promptly commencing at 6:00 P.M. For your information, the Constitution and By-Laws amendments are as follows: Millburn-Short Hills Chamber of Commerce Constitution and By-Laws Changes and Amendments
Article III - Membership Section 2(b). Networking organizations will be voted upon by the Chamber Board of Directors on a case by case basis and may be subject to restrictions. A “no-solicitation” clause may be put into effect. Individual members within such organizations will not be considered members unless they join individually. Section 2(c). A. Millburn-Short Hills Residents may join the Chamber as “A Friend of the Chamber” for a rate agreed upon by the Chamber Board of Directors. This rate will allow each resident to attend events at member rates. “Friends of the Chamber” do not have voting privileges and are not eligible to hold office.
Article VI - Officers Section 3. The Treasurer shall be elected annually at the Annual Meeting of the Chamber. The Treasurer shall receive and have custody of all funds of the Chamber, depositing same in the bank designated by the Board. The Treasurer, or the Executive Director at the authorization of the Board of Directors, shall pay and sign all vouchers. Any voucher more than $1,000.00 must be authorized to pay by the President. The Treasurer shall present monthly to the Board of Directors, a statement of the condition of the finances of the Chamber, and at the Annual Board Meeting of the membership, shall present a full and comprehensive written financial report. Any member upon request shall be entitled to an accounting of the Chamber’s finances. Upon retirement from office, the Treasurer shall turn over to the successor, all funds, books of accounts and any other property of the Chamber in his or her possession. Said records shall have been duly audited annually by a CPA selected by the Board of Directors. The Nominating Committee may select 2 members of the Board to serve as Members-at-Large on the Executive Board.
Article XIII - Fiscal Year The fiscal year of the Chamber of Commerce of Millburn-Short Hills shall end May 31 of each year.
Article XV - Amendments Section 1. This Constitution and By-Laws may be amended by a two-thirds vote of the general membership of the Chamber in attendance at any regular general membership meeting, or at any Board meeting for which the general membership has been notified for that purpose, provided that such amendments shall be plainly stated in the call for the meeting in which it is to be considered. Section 2. Notice of the Board meeting in which any Amendment is to be considered, must be given at least seven days prior to the time of the meeting.
Article XVI - Professional Consultants (Non-Board Members) The Board of Directors shall designate Legal Counsel, as needed, on a case-by-case basis. Legal Counsel can be called upon to advise the Board and Chamber draw and/or review contracts and other legal documents. The Board of Directors will approve the appointment of Counsel and said Counsel will serve as a volunteer position providing “pro-bono” services on a timely basis to the Chamber as much as deemed reasonably expected. Any compensation for services must be approved by the Board of Directors, in advance, on a case-by- case basis. Other Professional Consultants, including Certified Public Accountants, Human Resources Specialists and Marketing advisors may be appointed by the President with majority approval, a two-thirds vote of the Board of Directors and hired for an agreed upon fee, for a length of time of service for up to one year. These said Consultants need not serve on the Chamber’s Board of Directors. We look forward to meeting with you.
